(S.D.N.Y.) Representing BlackBerry Limited and its former officers in securities class action in the Southern District of New York related to BlackBerry’s accounting for its sales of BlackBerry 10 devices; all claims dismissed with prejudice.
Smilovits v. First Solar, Inc.
(D. Ariz. and Del. Ch.) Representing First Solar, Inc. and certain officers and directors in securities class actions and related derivative litigation in Arizona and Delaware.
In re Level 3 Communications, Inc. Securities Litigation
(D. Colo.) Successful dismissal of securities class action, with prejudice, against Level 3, as well as current and former officers, affirmed by the Tenth Circuit.
In re Level 3 Communications, Inc. Derivative Litigation and Iron Workers District Council of Tennessee Valley & Vicinity Pension Plan v. Crowe et al.
(Colo. Dist. Ct. and D. Colo.) Obtained voluntary dismissal of state and federal derivative claims.
ACP Master, Ltd. et al. v. Sprint Corp. et al.,
(Del. Ch.) Serve as SoftBank Corporation’s litigation counsel in connection with fiduciary duty and appraisal claims relating to Sprint Corporation’s acquisition of Clearwire Corporation.
Representing several former Bear Stearns officers in securities litigation relating to Bear Stearns-issued residential mortgage-backed securities.
In re Yahoo! Securities Litigation
(N.D. Cal.) Representing Yahoo! Inc. and its directors and/or officers in securities class actions and derivative actions. The federal securities class action was dismissed with prejudice.
In re LeapFrog Enterprises, Inc. Securities Litigation
(N.D. Cal.) Representing LeapFrog and certain of its directors and officers in connection with a securities class action pending in the Northern District of California.
Representing a social gaming company and its officers and directors in securities class actions and related litigation pending in the Northern District of California, San Francisco Superior Court, and Delaware Chancery Court.
In re Sprint Merger Litigation
(D. Kan.) Represented SoftBank Corporation in litigation that sought to prevent its $21.6 billion acquisition of a controlling interest in Sprint Nextel Corporation. Plaintiffs ultimately withdrew their request for a preliminary injunction after oral argument and then voluntarily dismissed their claims after the transaction closed.
In re Oracle Derivative Litigation
(N.D. Cal.) Represented Oracle Corporation in derivative actions and “books and records” action in state and federal courts in California.
In re Capital One Derivative Litigation
(E.D. Va.) Represented Capital One and its officers and directors in derivative litigation in the Eastern District of Virginia. We moved to dismiss, which the court granted without leave to amend.
In re InterCLICK, Inc. Shareholder Litigation
(Del. Ch.) Represented Yahoo! Inc. in connection with its $270 million acquisition of InterCLICK, Inc.
Todd v. STAAR Surgical, et al.
(C.D. Cal.) Defending medical device manufacturer in securities class action litigation regarding allegations related to the company’s compliance with FDA regulations.
Defended health care provider and certain of its officers and directors in a consolidated shareholder derivative action in the District of Colorado for breach of fiduciary duty arising out of the Company’s alleged violations of the False Claims Act and the Federal Anti-Kickback Statute. Obtained favorable settlement.
In re JDS Uniphase Securities Litigation
(N.D. Cal.) Obtained a complete defense verdict on behalf of JDSU and former executives in a securities class action seeking $20 billion for alleged securities fraud and illegal insider trading in the largest securities class action jury trial in history.
In re IPO Securities Litigation
(S.D.N.Y.) Served as court-appointed liaison counsel for more than 300 issuers and 1,000 individual defendants; also directly represented over 30 issuer defendants and approximately 200 individual defendants.
