Speaking Engagement

On May 16, two Morrison & Foerster attorneys will be speaking on panels at the Transaction Advisors 2018 San Francisco M&A Conference.

MoFo partners Rob Townsend and John Carlin will participate on a panel titled “Planning and Executing Cross-Border Acquisitions,” which will explore the unique issues associated with cross-border M&A and minority investments – from variations in deal structures to the merits of cash or stock offers – and look at methods for navigating securities laws with changing and conflicting requirements in various jurisdictions. The discussion will also explore methods for modeling changes in the geopolitical landscape and contemplate creative deal structures involving minority positions, control options, and exit paths.

Later in the day, John Carlin will participate in another panel titled, “We Found a Breach During Diligence. Now What Do We Do?” This session will explore both the methods and parties to the assessment of the breach; look at duties to report to law enforcement and securities regulators; consider the potential impact on schedules for financing and closing; debate valuation adjustments and changes in the forms of consideration; and discuss methods for addressing post-close liabilities.
