MoFo partners James Koukios and B. Chen Zhu led a roundtable discussion as part of LexMundi’s FCPA Anti-Corruption Program, which was held in conjunction with the Singapore Corporate Counsel Association. Led by notable practitioners from APAC, the U.S., and the UK, the roundtable addressed practical strategies for managing risk associated the impact of the FCPA and global anti-corruption laws on the M&A process.
More specifically, utilizing a buyer-side simulation, the group discussed:
- The potential for FCPA and anti-corruption exposure during due diligence review;
- Identifying key risk areas in risk assessment such as FCPA, UK Bribery Act, prior issues with DOJ and other regulatory enforcement agencies;
- Dealing with risks associated with reps, warranties, and indemnities; and
- Post-acquisition due diligence and integration.
