Ethical dilemmas are inevitable issues that in-house lawyers will need to address.

In the second edition of this webinar series, Morrison & Foerster partners Timothy Blakely, Marcia Ellis, Sarah Thomas, B. Chen Zhu, Serena Tan and Nicholas Sheets will use common scenarios to explore ethical dilemmas related to conflicts of interest and insider trading. We will discuss what is permitted under New York and California ethics rules and how these issues may be viewed differently under Hong Kong rules.

  • What happens when your former client from private practice has now become a counterparty at the company where you are the GC?
  • What if the principal of the PE house at which you are the GC asks you to advise on his own personal investments?
  • What if the SFC is investigating your employer and another employee who was involved in the activities being investigated asks you for advice on what he/she should do to protect him/herself?
  • What if the PE house at which you are the GC is contemplating a yet undisclosed major investment in a listed company, and at a party a good friend casually asks you about that company?
