Sarbanes Oxley -- the new US legislation designed to curb "Enron" abuses -- radically changes US corporate governance. It has important implications for senior employees and directors of US-listed companies in whatever part of the world they are based. It indicates changes that may be introduced in the UK. What if the CEO or CFO are insisting on back-up certificates from subordinates? What is the position of local directors? What is the impact on benefits in kind? We summarise the legislation and its implications for employees and directors based outside the US.
