Although the markets have been improving, issuers that seek financing remain concerned about volatility and the possible effect on their stock price associated with public announcement of a potential financing. As a result, many more public offerings are being marketed differently. We will discuss over-the-wall (or pre-marketed) public offerings, including the process, Reg FD and compliance concerns and other related issues. We also will discuss the mechanics of block trades—when is a trade just a trade, and when is it a distribution? We will also discuss bought deals.
