Although the markets have been improving, issuers that seek financing remain concerned about volatility and the possible effect on their stock price associated with public announcement of a potential financing. As a result, many more public offerings are being marketed differently. Panelists discussed over-the-wall (or pre-marketed) public offerings, including the process, Reg FD and compliance concerns and other related issues. They also discussed the mechanics of block trades―when is a trade just a trade, and when is it a distribution? Finally, faculty discussed “bought deals.”
