This program will look at the current FCPA landscape and its implications when considering mergers and acquisitions. We will focus on proper risk-based FCPA and anti-corruption due diligence, both conducting such due diligence, as well as responding to such inquiries. We will discuss initial considerations, properly assessing risk, evaluating compliance programs, policies, and procedures, targeted interviews, and possible onsite due diligence. We will also discuss ways to push back against anti-corruption due diligence where appropriate. Lastly, we will discuss principle areas of negotiation in terms of anti-corruption, including term sheets, reps and warranties, and other considerations like knowledge qualifiers and time limitations.
