Please join Financial Executives International (FEI) with its co-hosts Morrison & Foerster LLP, Houlihan Lokey, and Ernst & Young LLP as they present a unique two-part series covering the fundamentals of Mergers & Acquisitions in today's world. You will hear from some of the leading dealmakers in the area and the program promises to be both informative and interactive. This complimentary program is specifically for CFOs and senior financial executives who are involved in, or who want to learn more about M&A. Space is limited.

Part II - M&A University: Process, Preparation, Due Diligence and Deal Mechanics. This part will review the key tenets for a successful M&A transaction. The program will feature an interactive discussion among the experts and the roundtable attendees on nuts and bolts issues and recent trends affecting successful deal completion. Topics will include diligence hot topics such as IRC 409A compliance, labor and employment matters, and intellectual property issues. It will also cover deal structuring, including tax planning techniques, net operating loss, S-corporation and pass-through entity issues. The program will also explore the latest trends on key deal terms such as lock-up arrangements, fiduciary outs, conditions to closing, indemnification terms, caps, baskets, earnouts, escrows and holdback provisions.
