This seminar covers key issues and recent developments in U.S. sanctions and enforcement. In addition to a general overview of the U.S. sanctions regime, focus will be given to the risks non-U.S. companies face in engaging in transactions with countries and persons subject to U.S. sanctions. The seminar also discusses possible risk mitigation strategies in (i) the M&A context – including in diligence, under the definitive transaction agreements, and in post-merger integration and (ii) commercial transactions and global payments.
