The Jumpstart Our Business Startups (JOBS) Act was passed by The U.S. Congress and signed into law by President Obama. The JOBS Act represents the most significant change to our capital formation regulatory framework since Securities Offering Reform in 2005. The JOBS Act permits non-reporting companies to conduct "mini" public offerings, or Regulation A/3(b)(2) exempt offerings.  The panelists will discuss this capital raising alternative.

Topics will include:

  • Regulation A basics;
  • Testing-the-waters;
  • The offering process;
  • Combining Regulation A offerings with other exempt offering alternatives;
  • Regulation A as a precursor to an IPO;
  • Regulation A as an alternative to an IPO;
  • Research coverage;
  • Attracting institutional investors; and
  • Secondary trading.
