Regarding the potential impact on Japanese companies if CFIUS regulations are strengthened, “[a]gainst the backdrop of a tightening of regulations, Japanese companies must also carefully examine whether a transaction will be subject to CFIUS review.”  In addition, regarding the fact that most of the U.S. listed companies were subject to shareholders’ action, many of these were frivolous suits “aiming to secure legal fees for the plaintiff attorneys.”
