Morrison & Foerster is advising ThreatMetrix, a leader in the risk-based authentication sector, in its acquisition by RELX Group, a global provider of information and analytics. The companies have entered into a definitive agreement for RELX Group to acquire the entire issued share capital of ThreatMetrix for a consideration of £580 million payable in cash.

As part of the transaction, ThreatMetrix will become part of Risk & Business Analytics under LexisNexis Risk Solutions, which has an established commercial partnership with ThreatMetrix. The transaction is subject to customary conditions and regulatory consents and is expected to close during the first half of 2018.
