MoFo Advises China Huiyuan Juice on Issuance of HK$1B Convertible Bond

Morrison & Foerster LLP advised China Huiyuan Juice in its agreement to issue HK$1B of convertible bonds to SDF III Holdings Limited. The deal is subject to shareholder approval and pursuant to the General Mandate.

MoFo has counseled long-standing client Huiyuan Juice in a variety of matters, including its 23% share sale to SAIF Partners for approximately US$260 million, the largest investment ever made by the venture capital fund then; its US$631 million acquisition of upstream juice concentrates and fruit purees production business from its founder; and in a series of convertible bonds and share placements that raised an approximate total of US$222.25 million.

The MoFo team was led by Hong Kong corporate partner Xiaohu Ma, with support provided by Hong Kong of counsel Samuel Ng and Hong Kong associate Echo Shen. Hong Kong legal assistants Oliver He and Yoki Yueqi Huang also provided key contributions.
