Morrison & Foerster’s Robert S. Litt shed light on the CFIUS concerns that led president Trump to block the Broadcom takeover of Qualcomm in The Deal article “Trump’s Broadcom Order Echoes Through Silicon Valley.”

“What’s novel is that the national security concerns were not, as has been typical, that a foreign government that we don’t trust is going to be acquiring important technology, but rather we are concerned that this transaction may have effects in the market that would have adverse national security impacts on us,” he said.

“CFIUS was concerned that the acquisition might lead to a reduced R&D environment that would give an advantage to foreign firms in matters of importance to our national security,” he added.
