Morrison & Foerster Advises AMPAC on Acquisition of Marotta Holdings Limited


London, 27 October 2008:  Morrison & Foerster (London), with support from its San Francisco office, has advised NASDAQ listed American Pacific Corporation (“AMPAC”) on the acquisition of the European operations of Marotta Controls, Inc., namely Marotta Holdings Ltd and its wholly-owned subsidiaries located in Ireland and England (“Marotta Europe”).

Marotta Europe – based in Dublin and Cheltenham - designs and manufactures high performance valves, pressure regulators, cold-gas propulsion systems and precision structures for space applications, especially in the European space market.  These products are used on satellites and spacecraft, as well as the Ariane 5 launch vehicle.

The Morrison & Foerster team included London partners Natalie Diep (Corporate) and Trevor James (Tax), and Associate (Corporate) Matthew Edwards.  They were assisted by San Francisco-based partner, Zane Gresham.

Natalie Diep said:  “AMPAC is a long-standing client of the Firm.  We have advised them on a number of transatlantic initiatives in recent years including the company’s acquisition of Aerojet General Corporation’s satellite thruster business.”

“The acquisition is significant for AMPAC, as it enables the company to address new opportunities in the European aerospace market.  By combining the acquired capabilities of Marotta Europe with AMPAC’s existing facilities in the UK, the company will be able to provide greater access to ITAR (International Trade in Arms Regulations) -free propulsion systems and components to the European space market.”
