Mr. Cudd has had extensive experience structuring all types of corporate and partnership transactions and financial products, including those involving foreign entities, limited liability companies, REITs, RICs, REMICs, and tax-exempt organizations such as pension funds and foundations.  He has been involved in all of the tax aspects of structuring investments in real estate, securities, joint-venture projects, and hedge funds.  He has broad experience in taxable and tax-free corporate, partnership, and business reorganizations; in acquisitions and dispositions; and in structuring financial products, such as securitizations, swaps, options, hedges, contingent payment debt instruments, and other innovative products.

Morrison & Foerster Chair Keith Wetmore said of his arrival: "Bob’s background fits well with our national and West Coast tax and business practices.  He has the breadth of experience, seniority, and professional presence to work on major corporate transactions and to advise emerging company and venture clients."

Tom Humphreys, Co-chair of the firm’s Tax Department, added "I have known Bob for many years and have the highest regard for him.  He has top-notch skills and an unparalled level of engagement and deal experience in sophisticated areas of tax practice."

Mr. Cudd joins Morrison & Foerster from the New York office of LeBoeuf, Lamb, Greene & MacRae, where he was a partner.  "I am excited to have the opportunity to join Morrison & Foerster, which has one of the leading tax practices in the nation," he said.  "Moreover, after twenty-five years in the New York area, I am looking forward to practicing on the West Coast."

Mr. Cudd received his J.D. from the University of Pennsylvania in 1974 and his LL.M. in Taxation from New York University in 1978.

The firm’s Tax Department regularly advises clients on the full range of tax matters, including the federal, state, and local tax law implications of transactions and business structures, as well as tax planning and consulting and the representation of clients in tax litigation.  The Department also encompasses practices in employee benefits and executive compensation, trusts, estates, and estate planning.

"Federal tax considerations play an increasingly critical role for our corporate group, particularly in cross-border transactions, mergers and acquisitions, and the development and issuance of structured securities," added Robert Townsend, Co-Chair of the firm’s Corporate Group.  "Bob’s sophisticated tax expertise and commitment to client service will further enhance our ability to meet the needs of our clients in their critical transactions."
