Lee Shepard is an of counsel in the Palo Alto office of Morrison & Foerster, where he focuses on corporate and securities law matters, including mergers and acquisitions, private financings, public offerings, and general corporate matters, and on restructuring and insolvency matters. Mr. Shepard pioneered the use of an options-based methodology for valuing “cheap stock” that has been widely adopted by the appraisal profession and is one of three recommended valuation methods in the AICPA Practice Aid for Valuation of Privately-Held-Company Equity Securities issued in April 2004. Mr. Shepard draws upon his years of business, finance, and investment banking experience to provide clients with a business-oriented approach to legal matters.

Mr. Shepard received his B.S. in Applied Mathematics and Managerial Economics in 1985 and in 1988 received his M.S. (M.B.A.), both from Carnegie Mellon University. In 2006, he received his J.D., cum laude, Order of the Coif, from U.C. Hastings College of the Law, where he was a senior production editor of the Hastings Law Journal, articles editor and senior articles review chair of the Hastings Business Law Journal and a member of the Thurston Society. He served as a judicial extern for the Honorable Dennis Montali, U.S. Bankruptcy Court, Northern District of California.
