Shannon Sibold is the Managing Partner of Morrison Foerster’s Austin office and a partner in the firm’s Emerging Companies and Venture Capital Group. Her practice focuses on corporate finance and securities matters, including private financings, mergers and acquisitions, corporate restructurings, and corporate governance. Shannon advises emerging-growth and venture-backed companies throughout their entire lifecycle, from formation and early architectural and governance decisions through seed, growth, and later-stage financings, strategic partnerships, and liquidity events. She also regularly counsels management teams and boards of directors on matters of corporate governance and shareholder relations. In addition to representing companies, Shannon works closely with angel investors, venture capital funds, and strategic corporate investors in connection with their investments in high-growth companies. Her experience spans hundreds of venture capital and growth equity transactions, including complex financings and strategic deals involving technology and innovation-driven businesses. Drawing on deep experience across corporate, securities, and M&A matters, Shannon is known for her practical, business-oriented approach and for guiding founders, executives, and investors through the legal and strategic challenges that arise at every stage of growth. Yuan Xia is a partner in Morrison Foerster’s Palo Alto office. She is a member of the firm’s Executive Compensation + Benefits practice.Yuan’s practice focuses on the transactional aspects of executive compensation matters in the context of domestic and cross-border mergers, acquisitions, divestitures, public offerings and restructurings. Yuan regularly counsels public companies, private equity funds, and startup companies on the design and implementation of equity, incentive and non-qualified deferred compensation agreements, change in control, retention and severance, and executive employment agreements. Yuan also has distinct experience advising public companies on executive compensation disclosures for annual proxy statements and merger proxies, initial public offerings and Form 8–Ks. Yuan was recognized by Legal 500 US as a Rising Star in Employee Benefits, Executive Compensation and Retirement Plans (Transaction) for 2024.Prior to joining the firm, Yuan was an associate at another international law firm headquartered in New York.

Andre Amorim is an associate in the New York office and a member of the firm’s Executive Compensation and Benefits practice.Andre’s practice focuses on a wide range of compensation and benefits matters. He advises both public and private companies on tax and securities law issues in connection with complex corporate transactions, including mergers and acquisitions, financings, and initial public offerings. He also advises employers and executives in the negotiation, design, and implementation of employment, severance, change in control, deferred compensation, equity, and other incentive compensation plans and arrangements.Prior to joining the firm, Andre advised on executive compensation and employee benefits law at another multinational law firm. He was also previously with Ernst & Young’s People Advisory Services Department, where he focused on various executive compensation and employee benefits issues with respect to foreign and domestic equity-based incentive plans, long-term incentive plans, ERISA and Affordable Care Act compliance, and qualified retirement benefit plans.Andre earned his B.A. in economics from Fordham University and his J.D. from Fordham University School of Law.
