Learn the basics of the different types of IP, the importance of proper IP ownership, and when to undertake a freedom to operate analysis, as well as how to avoid patent and trade secret missteps that may prevent you from protecting your IP. - Raising Capital: Angel & Venture Financing Fundamentals
A venture capitalist will provide the key structures and terms used in seed-stage and venture capital financing. This session covers common angel investment approaches (including convertible notes, equity, and hybrid structures) and introduces the preferred stock terms, capital structures, and deal mechanics that form the foundation of venture capital investments, including term sheets and basic capitalization and liquidation concepts.

This session includes a high-level, panel-style discussion with MoFo attorneys about the most common legal mistakes that startup founders make, from errors in company formation and stock issuances to IP, employment, and fundraising, and practical guidance on early avoidance.
- Fireside Chat with a Founder and the Presenting Speakers
To conclude the event, MoFo’s Austin office Managing Partner Shannon Sibold and FIESTA founder Cherie Werner will moderate a fireside chat with an accomplished founder. Drawing on their combined years of experience, the group will discuss what matters most as companies prepare for a financing round, including connecting with the right investors, preparing for due diligence, and understanding key term-sheet concepts. The conversation will also feature questions from the audience, both prepared and unscripted.
