MoFo Advises Nikon on Public Takeover Bid for SLM Solutions Group AG
Morrison Foerster is advising Nikon Corporation, a globally active Japanese manufacturer of optical technology solutions, in connection with the recently announced voluntary public takeover bid for SLM Solutions Group AG, a Lübeck-based manufacturer of metal 3D printers.
Morrison Foerster advised on all aspects of the transaction, including the structuring of the deal, due diligence, as well as the preparation and negotiation of the transaction documentation, namely the investment agreement and irrevocable undertakings with major shareholders of the target company. The transaction is valued at €622 million.
The transaction is subject to approvals under investment control law and customary closing conditions. Morrison Foerster will continue to advise on the transaction, including in relation to obtaining foreign investment control approvals.
