Damien is a partner in the firm’s Government Contracts & Public Procurement practice. Tyler Sewell is a corporate partner in the firm’s Denver and Washington, D.C. offices and serves as Lead of the M&A Practice Group. Tyler Sewell

Josh Lerner is a partner in the Executive Compensation + Benefits Group based in the New York office of Morrison Foerster.Josh advises clients on all matters involving the compensation of senior executives, including employment, change in control, equity compensation, and severance arrangements.He counsels public and private companies on executive compensation issues in a range of corporate transactions, restructurings, and financings. He has experience designing, drafting, and negotiating employment agreements and administering equity incentive plans and awards. Joshua Lerner

Caitlin Crujido is a partner in the Government Contracts practice in Morrison Foerster’s Washington, D.C. office.Caitlin represents government contractors in a full range of contract matters, including bid protests, contract claims and disputes, mergers and acquisitions, and internal and external investigations.In her litigation practice, Caitlin is often involved with the full life cycle of claims, from preparing requests for equitable adjustment to litigating claims disputes at the Boards of Contract Appeals and the U.S. Court of Federal Claims (COFC). She also regularly represents clients in pre- and post-award bid protests before procuring agencies, the U.S. Government Accountability Office, and COFC. In addition, Caitlin has worked on a number of False Claims Act (FCA) investigations and qui tam actions. In her transactional practice, Caitlin’s experience includes advising on mergers and acquisitions involving both the purchase and sale of government contracting concerns or related assets. Beyond performing due diligence, negotiating purchase agreements, and assisting with post-transaction related filings, Caitlin takes a holistic view to these transactions, working with clients to navigate various strategic and legal considerations. Her practice also includes counseling clients on various compliance and regulatory issues, particularly in the areas of contract and subcontract management.Prior to joining the firm, Caitlin served as a law clerk for the U.S. Civilian Board of Contract Appeals.Caitlin graduated from the University of Arizona in 2012, receiving her B.A. in Political Science. In 2017, she earned her J.D. cum laude, from the American University Washington College of Law, where she was an articles editor for the American University Law Review. Caitlin Crujido

Arton Falahati is an associate in the San Francisco office of Morrison Foerster and member of the firm’s Executive Compensation + Benefits practice.Prior to joining the firm, Arton was a Legal Intern for a Fortune 500 consumer products company, an investor-owned utility company, as well as a webcasting and virtual event technology company. Arton earned his J.D. from the University of California, Davis School of Law, where he served as Staff Editor for the Business Law Journal and Research Editor for the Social Justice Law Review. He also served as the Vice President of the Middle Eastern North African South Asian Law Students Association. Arton Falahati

Nicole Giles is an associate in the Government Contracts practice in Morrison Foerster’s Washington, D.C. office.Nicole represents government contractors on various contract matters, including mergers and acquisitions, bid protests, contract claims and disputes, and compliance issues. Before joining the firm, she worked as a government contracts associate for a leading law firm and clerked for the U.S. Civilian Board of Contract Appeals.Nicole’s experience includes advising on mergers and acquisitions involving both the purchase and sale of government contracting concerns or related assets, including performing due diligence and negotiating purchase agreements; prosecuting and defending bid protests before the U.S. Government Accountability Office (GAO) and the U.S. Court of Federal Claims (COFC); representing government contractors in disputes with the federal government, including appeals of contracting officer final decisions to the Armed Services Board of Contract Appeals (ASBCA) and Civilian Board of Contract Appeals (CBCA); and counseling clients on various compliance issues, including those involving the Service Contract Act (SCA).Nicole graduated magna cum laude from Gettysburg College with a B.A. in History and Philosophy. She earned her J.D. from The George Washington University Law School. Dylan Moore is a corporate associate in Morrison Foerster’s Denver office.Dylan’s practice focuses on representing publicly- and privately-held companies in connection with complex transactions, including purchases and sales of assets, merger transactions, and corporate restructurings.Prior to joining Morrison Foerster, Dylan was an associate at another global law firm.Dylan received his J.D. with honors from the University of Texas School of Law, where he worked as a student attorney for the Juvenile Justice Clinic and a legal intern for the Transnational Worker Rights Clinic. He also served as a staff editor of the Texas Journal of Oil, Gas, and Energy Law.He received his B.A., magna cum laude, in political science from the University of Louisiana.
