MoFo Advises L3Harris on Purchase Agreement for BWX Acquisition of L3Harris' AOT

Morrison Foerster advised L3Harris Technologies, Inc., defense contractor and information technology services provider, on regulatory matters related to a purchase agreement for BWX Technologies, Inc., a nuclear components and fuel provider, to acquire L3Harris' Aerojet Ordnance Tennessee, Inc. (A.O.T.) business for approximately $100 million. A.O.T. is a leading provider of advanced specialty materials, fabrication, and high-strength alloy manufacturing.

The acquisition is targeted to close by year-end and is expected to be slightly accretive to BWXT’s earnings, excluding purchase accounting and other one-time costs within 12-18 months. The acquired business will operate within BWXT’s government operations segment.

The MoFo team advising L3Harris was led by Washington D.C. government contracts partner Damien Specht, San Francisco environmental litigation + regulatory partner William Tarantino, and Washington D.C. national security partner Charles Capito. The wider team included Washington D.C. national security partner James Brower, government contracts associate Caitlin Crujido, and national security associate Jonathan Babcock.
