This marked the first share buyback offer conducted by Medios. The offer covered approximately 3.92% of the current share capital of Medios. <p>Sebastian Schwalme is a corporate partner at Morrison Foerster’s German office in Berlin and advises on all corporate law matters. He focuses on stock corporation and capital markets law, banking law, corporate governance, compliance, mergers and acquisitions, as well as providing strategic advice to companies.</p><p>In particular, he advises clients on the implementation of capital markets financing measures and transparency obligations, on the preparation and conducting of annual general meetings, international and national transactions, corporate and project financing, and on general strategic matters.</p><p>He publishes articles in the field of corporate and capital markets law and is cospeaker of the practical seminar “<em>Berliner Update Kapitalmarktrecht</em>,” which is held each year in Berlin. <p>Jennifer Seipelt advises national and international clients on a wide range of financing structures. She specializes in domestic and cross‑border financing transactions, with a particular focus on representing private equity funds, borrowers, financial institutions, and debt funds on acquisition finance, leveraged buyouts, direct lending, corporate finance, and syndicated loans. Other areas of expertise include real estate financing, infrastructure financing, and financial restructuring.</p><p>Prior to joining Morrison Foerster, Jennifer worked, <em>inter alia</em>, for major U.S. and UK law firms in the areas of banking and leveraged finance.</p><p dir="ltr">Jennifer is a partner in Morrison Foerster's German office in Berlin.</p>

<p>Julian Gebauer is counsel at Morrison Foerster’s German office in Berlin and a member of our Corporate / M&A department. He assists companies and investors with structuring and implementing national and cross-border M&A projects (including stock-for-stock transactions and joint ventures) and advises German and international clients on corporate and capital market law matters. A particular focus of his work is on public takeovers (public M&A), post-merger integration measures under German stock corporation and transformation law, as well as on shareholder agreements in connection with equity investments. Julian also advises clients on the implementation of disclosure obligations under capital market law and regularly acts as notary representative.</p><p>Julian was admitted to the German bar in 2017. Prior to joining Morrison Foerster in 2019, he practiced corporate law at an international law firm. <p>Julian Gebauer ist Counsel im deutschen Büro von Morrison Foerster in Berlin und gehört der Praxisgruppe Gesellschaftsrecht / M&A an. Er berät Unternehmen und Investoren bei der Strukturierung und Durchführung nationaler und grenzüberschreitender M&A-Projekte (einschließlich Stock-for-Stock-Transaktionen und Joint Ventures) sowie deutsche und internationale Mandanten in Fragen des Gesellschafts- und Kapitalmarktrechts. Ein besonderer Schwerpunkt seiner Tätigkeit liegt im Bereich öffentlicher Übernahmen (Public M&A), aktien- und umwandlungsrechtlicher Strukturmaßnahmen sowie Gesellschaftervereinbarungen im Rahmen von Unternehmensbeteiligungen. Ferner berät er Mandanten bei der Umsetzung kapitalmarktrechtlicher Transparenzpflichten und ist regelmäßig als amtlich bestellter Notarvertreter tätig.</p><p>Julian Gebauer ist seit 2017 als Rechtsanwalt zugelassen. <p>Tobias Flatt advises investors and companies on national and cross-border M&A transactions as well as on corporate and capital markets law issues.</p><p dir="ltr">Tobias studied at Bucerius Law School in Hamburg, with a focus on  corporate and capital markets law, and completed his legal traineeship at the Higher Regional Court of Berlin. He gained initial experience in the areas of corporate/M&A/venture capital/funds as a research assistant at major law firms in Berlin and Hamburg.</p><p dir="ltr">Tobias is a corporate associate at Morrison Foerster’s German office in Berlin.</p>
