Damien C. Specht

Partner

Chris Chamberlain is a partner in Morrison Foerster’s National Security Group. He previously served as a Senior Advisor at the U.S. Department of Commerce, Bureau of Industry and Security (BIS), where he focused on complex high-technology issues in export controls at the forefront of U.S. national security and foreign policy, including semiconductors. He brings over 15 years of government and private practice experience, including in-depth knowledge in export controls and related fields. Chris has extensive experience advising and engaging with senior government and industry leadership, and in navigating interagency and international coordination on export controls. During his time at BIS, Chris was a Senior Advisor to the Assistant Secretary of Commerce for Export Administration and was the senior policy lead for semiconductor manufacturing controls. He played a pivotal role in strategizing, drafting, and implementing key regulations and policy actions on semiconductor issues. Chris advised on key issues pertaining to the Department of Treasury’s outbound investment regulations. In his work in and out of government, Chris has led teams and personally handled the execution of virtually every aspect of regulatory implementation in export controls. This includes extensive coordination with enforcement personnel, engineers, and other regulatory and legal experts on issues arising from license applications and determinations, Advisory Opinions, Letter Authorizations and the Is-Informed process, and other regulatory mechanisms and issues. Chris also has extensive experience in the extraterritorial application of export controls, including under the Foreign Direct Product Rule (FDPR) and De Minimis Rule, and restrictions on U.S. Person activities. Chris has a particular industry focus on semiconductor production, microelectronics, telecommunications (including encryption), and emerging technologies such as artificial intelligence and machine learning. His experience also includes advising companies’ export controls issues in semiconductor design and test, cloud based services, and various technologies involved in autonomous vehicles, making him a valuable asset in navigating the regulatory landscape of these high-tech sectors. He also has extensive experience consulting with industry to provide feedback on regulations, and he has strategized and executed numerous internal investigations to assess compliance with U.S. trade and national security controls. In private practice, Chris has advised on the development and application of a wide array of national security and trade laws, with a specific focus on export controls (EAR/ITAR) and specializations in federal procurement and other regulations on cyber and supply chain security. Chris has extensive experience in export compliance, policy, and enforcement, having developed and implemented global compliance programs focused on trade and national security controls, especially on controls related to China and Russia. His work has involved advising on export jurisdiction and classification determinations (CCATS and Commodity Jurisdiction requests), strategizing and preparing export license applications and similar requests, and conducting internal risk assessments and investigations to assess compliance with U.S. trade controls. In the context of CFIUS, Chris has conducted export control jurisdiction and classification analysis in company-wide critical technology reviews for CFIUS filings and evaluated potential outcomes and timing for CFIUS reviews. He has also drafted guidance and advised on national security authorities in the context of commercial and corporate transactions, especially related to China and telecommunications, including undersea cable projects. Earlier in his career, Chris served as a Judicial Law Clerk to Judge Margaret Ryan on the United States Court of Appeals for the Armed Forces, where he drafted memoranda and briefed cases involving complex constitutional law and regulation. Prior to that, he worked as a Program Analyst in the Office of Audits at the Department of Homeland Security’s Office of the Inspector General, where he designed and executed audit plans focused on immigration, procurement, transportation, and grants. Chris earned his J.D., cum laude, from Georgetown University Law Center, where he was recognized as an Exceptional Pro Bono Pledge Honoree.

Chris Chamberlain

Liam Bowers is an associate in the Government Contracts practice in Morrison Foerster’s New York office.Liam received his J.D. from the George Washington University Law School with high honors and a concentration in Government Procurement Law. He served as a member of the Public Contract Law Journal and was the recipient of the 2022 Murray J. Schooner Scholarship for Government Procurement Law. While in law school, he served as judicial intern to Judge Thompson Michael Dietz in the United States Court of Federal Claims and as a summer law clerk in the Department of the Navy, Office of General Counsel. Before joining the firm, he worked as a transactional associate at a leading law firm in New York.Liam received a B.A. in political science with a minor in environmental systems from the University of California, San Diego.

Liam Bowers

Anthony Ramirez is a partner in the Technology Transactions Group in the New York office of Morrison Foerster.Anthony advises clients on general commercial and transactional matters. He regularly advises companies on the IP aspects of their M&A transactions. His clients include technology, digital media and content for television and music, financial services, and communications companies with diverse intellectual property assets and issues.His practice focuses on the legal aspects of developing, licensing, and commercializing technology and intellectual property, as well as negotiating general commercial contracts, including outsourcing transactions, as well as content and data licenses. He regularly assists clients with legal issues relating to licensing and commercialization of digital media and content, digital content that is distributed over the Internet or streamed, mobile applications and social media, as well as the licensing of recorded music for distribution via digital platforms. Anthony is also experienced with issues relating to open-source software, software development, artificial intelligence and machine learning, cloud-based technology, and protection of proprietary information.Anthony has extensive experience working on matters involving disruptive technologies, such as blockchain. He has helped fintech clients with general intellectual property issues in connection with terms of service for online financial products and services.Anthony is an integral part of the outside pro bono legal team for nonprofit organizations based in New York, including advising clients on legal issues regarding entertainment, social media, privacy rights, and the negotiation of outsourcing and service agreements. Julie O'Neill

James Koukios is co-chair of Morrison Foerster’s Investigations + White Collar Defense Group and also serves as co-head of the FCPA + Global Anti-Corruption Practice. He has handled matters across a wide range of jurisdictions including Brazil, China, Greece, India, Russia, Venezuela, and Vietnam, among others. James draws on his experience as a federal prosecutor, when he tried over 20 federal jury cases and supervised hundreds of white collar investigations, to obtain the best results for his clients. He is consistently praised for his judgment and advocacy in complex investigations and enforcement actions. Rachel Davidson Raycraft is an associate in the Litigation Department of Morrison Foerster’s Washington, D.C., office.Rachel has particular experience in corruption prevention and compliance. Prior to joining the firm, Rachel worked as an anti-corruption consultant at the United Nations Office on Drugs and Crime, Corruption and Economic Crime Branch, where she supported the implementation and management of global anti-corruption initiatives and assisted state parties in meeting their obligations under the United Nations Convention against Corruption. Rachel also served as a Fellow with the World Economic Forum Global Future Council on Transparency and Anti‑Corruption. After graduating from law school, Rachel clerked for the Honorable Judge Bernard A. Friedman of the U.S. District Court for the Eastern District of Michigan.During law school, Rachel was a legal intern with the U.S. Department of Justice’s Criminal Division, Fraud Section, and worked as a summer associate at Morrison Foerster.Rachel received her J.D. from the University of Virginia School of Law, where she was an editor for the Virginia Journal of International Law, president of the Public Interest Law Association, and a Human Rights Program coordinator.Rachel received her M.P.P. from the University of Virginia Batten School of Leadership and Public Policy, where she was a member of the Public Policy Global Honor Society. Addison Yang is an associate in the New York office of Morrison Foerster and a member of the firm’s Technology Transactions Group.His practice is focused on transactional matters involving a broad range of intellectual property and technology issues, including in licensing and development agreements, mergers and acquisitions, and general startup matters. Addison works across a variety of industries, including in the areas of artificial intelligence, software and cloud services, software development, semiconductor manufacturing, Fintech, and blockchain applications.During law school, Addison served as a law clerk to the Senate Judiciary Committee, where he supported legislative drafting and committee hearings about artificial intelligence, social media algorithms, and vehicle safety regulation. Addison also interned for the New York State Attorney General, Bureau of Internet & Technology, where he supported consumer protection investigations into digital and hardware products. Prior to law school, Addison worked at a blockchain technology provider, where he coordinated regulatory and policy matters.Addison received his J.D. from New York University School of Law. Scott focuses on complex technology and intellectual property (IP) transactions, with particular experience on matters involving advanced hardware and software platforms. His work includes substantial contributions to transactions relating to smart glasses, mixed‑reality devices, and other next-generation wearable technologies.He prepares, analyzes, and revises a wide range of technology and IP-related agreements, including licensing and IP transfer agreements; bespoke IP licensing and services contracts involving novel technologies; development and collaboration arrangements; distribution and commercialization agreements; joint venture and services arrangements; manufacturing and supply agreements; SaaS and cloud services agreements; and other agreements arising in the technology space. His experience spans issues throughout the product life cycle, from early-stage development through launch and commercialization.Scott also contributes to the IP components of strategic investments and M&A, including IP and technology diligence across diverse technology sectors. He is an active participant in the firm’s pro bono efforts.Scott earned his J.D. from New York University School of Law, where he served as notes editor for the NYU Environmental Law Journal. He holds a B.S. in neuroscience and behavioral biology from Emory University. Prior to joining the firm, Scott was a summer associate in the San Francisco office in 2019.
