Tushna Gamadia has over two decades of experience representing clients in complex commercial real estate transactions, with a particular emphasis on joint ventures, acquisitions and dispositions of properties, and real estate finance.Tushna regularly represents domestic and overseas investors and developers in joint venture projects throughout the United States and in the acquisition, financing, management, development, and sale of these projects. She has worked on the purchase, sale, development, leasing, and operation of commercial real estate properties, including shopping centers, office buildings, multi-family residential properties, mixed-use condominium projects, and hotels. She has advised borrowers and lenders on all aspects of real estate finance, including securitized lending, balance sheet lending, syndicated loan transactions, construction loans, preferred equity, and private equity transactions. Tushna also has experience representing developers in obtaining EB-5 financing for development projects.Tushna is also actively engaged in pro bono matters, including advising nonprofit institutions, international charities, and small businesses in connection with corporate and real estate matters, and advising community members in connection with family law and immigration matters. She is the 2020 recipient of Morrison Foerster’s Kathi Pugh Award for Pro Bono Service.Since 2022, The Legal 500 US has recognized Tushna as a Rising Star in Real Estate Finance, and in 2024 she was also Recommended for Real Estate. Phil Levine is head of the firm’s Northern California Real Estate Group. Phil concentrates his practice representing clients in a wide range of commercial real estate equity and debt transactions, including acquisitions and sales; ground lease transactions; financing (including permanent and construction loans); the structuring and formation of joint ventures and other investment vehicles for the development, ownership, and operation of all major property types, such as multifamily projects, office buildings, and industrial projects (including transactions involving the use of operating partnership units); representing landlords and tenants on office, industrial and retail leasing transactions; and counseling clients on ground-up development projects, including negotiating architect and construction contracts and development management agreements. His clients include REITs, private equity firms, institutional investors (including domestic and foreign investors), and real estate development companies. In the recent words of clients, Phil is “the best lawyer [they] have worked with in [their] career. Josh Pierce has a decade of experience working with clients on commercial real estate matters, with a particular focus on the acquisition, financing, and disposition of U.S. real estate assets.Josh represents domestic and foreign investors (including private equity and investment fund sponsors) in large-scale acquisitions, financings, and dispositions of U.S. commercial real estate assets and in the structuring and documentation of strategic joint ventures and direct investments in U.S. commercial real estate assets. His practice frequently involves the representation of foreign institutions making in-bound investments into the United States.Josh also represents institutional lenders providing financing to commercial real estate projects and borrowers throughout the United States and abroad with respect to a wide variety of asset classes, including office building, multi-family, hotel, industrial, condominium, and land deals. He regularly represents lenders in connection with construction, mortgage, and mezzanine loans; fund, REIT, and bond transactions; sale-leasebacks; unsecured lines of credit; and warehouse lines of credit.Prior to joining Morrison Foerster, Josh worked in the finance group of a law firm in New York, as well as at the U.S. Department of State in the Office of the Legal Adviser.Josh received his J.D. from Georgetown University Law Center in 2009, where he was the notes and articles editor of the Georgetown Journal of International Law. Joshua Pierce

Keith Print regularly represents prominent financial institutions in large, complex syndicated mortgage, mezzanine, subscription, and corporate/REIT credit facilities. He also represents clients in construction loan transactions involving prominent developers of multi-family apartment buildings and office buildings, among other asset classes.Keith has represented clients in major projects in New York City, including 30 and 50 Hudson Yards, and frequently advises the lead lenders in large construction financings, including large-scale credit enhancement for, or purchase of, government issued tax-exempt and taxable bonds. The proceeds from these bonds are used to finance luxury multi-family projects throughout New York City that offer affordable rate and market rate housing.Keith also counsels clients on real estate sales and acquisitions, ground leases, and office leases, including those involving landmark hotels and complex industrial land.
