William Wilson is a partner in the Technology Transactions Group in the New York office of Morrison Foerster.William provides guidance to startups, major corporations, and venture capital and private equity investors. His practice spans business and technology transactions, including counseling, as well as structuring and negotiating deals across various industries, with a specialized emphasis on the Fintech, software, and technology sectors.William provides legal representation across the entirety of a company’s lifecycle, from general corporate and IP counseling, to early- and late-stage financings, to exit event. As an active participant in the venture ecosystem, William is involved with various startup accelerators and incubators, including MIT Delta V, NYU Endless Frontier Labs, and Spark Cleantech Accelerator.William’s practice covers all aspects of technology and intellectual property counseling, including strategic licensing, artificial intelligence, technology transactions, joint ventures, strategic alliances, and intellectual property strategy and protection. He also has substantial experience in intellectual property and commercial matters related to strategic mergers, acquisitions, and corporate divestitures.William has served as a guest lecturer at numerous institutions, such as Columbia University, Brown University, New York University, Washington University in St. Louis, and University of Tennessee. His lectures span topics from technology transactions and venture capital to artificial intelligence and startup matters.William is recognized as a Recommended Lawyer for Patent Licensing by The Legal 500 United States. The publication highlighted his profound understanding of both legal and technical matters, with clients noting that he has “deep knowledge of the issues, both legal and technical and is able to clearly advise and support both the legal and business teams,” and commending his “relaxed and collaborative negotiation style that promotes resolution of issues, which is a very helpful skill when dealing with a difficult counterparty.”

Lee Shepard is a partner in the Palo Alto office of Morrison Foerster, where he focuses on fund formation and transactions, as well as corporate and securities law matters, including mergers and acquisitions, private financings, public offerings and general corporate matters.Mr. Shepard represents venture capital and private equity sponsors and institutional investors in connection with the formation of, investments in, and investments by private funds and alternative investment vehicles, including funds focused on life sciences, pharmaceutical development, and alternative energy power generation. He advises institutional investors on co-investments in private equity-sponsored acquisitions and leveraged recapitalization transactions. Mr. Shepard also advises clients general corporate and securities law matters, including mergers and acquisitions, private financings, public offerings and general corporate matters.Mr. Shepard received his B.S. in Applied Mathematics and Managerial Economics in 1985 and in 1988 received his M.B.A. from Carnegie Mellon University. In 2006, he received his J.D., cum laude, Order of the Coif, from U.C. Hastings College of the Law, where he was a senior production editor of the Hastings Law Journal, articles editor and senior articles review chair of the Hastings Business Law Journal, and a member of the Thurston Society. He served as a judicial extern for the Honorable Dennis Montali, U.S. Bankruptcy Court, Northern District of California. Prior to receiving his J.D., Mr. Shepard was a senior officer of a major investment bank.

Lee Shepard

Jaclyn is a tax partner in the Washington, D.C. office of Morrison Foerster.Jaclyn represents clients on the U.S. federal income taxation of private equity, venture capital and hedge funds, including credit, energy, real estate, and co-investment funds. She advises fund sponsors in private fund formation and operation, including preparation and negotiation of fund disclosure and organizational documents. In addition, she advises private fund investors, including sovereign governments, insurance companies and fund of fund platforms, on side letter agreements. Jaclyn earned her law degree from the George Washington University Law School. She also earned her M.B.A. from the George Washington University, School of Business and her Executive LL.M. in Taxation from Georgetown University Law Center. Prior to private practice, Jaclyn worked for the IRS Office of Chief Counsel’s office of Passthroughs and Special Industries, where she specialized in partnership and S corporation taxation.
