Morrison Foerster Recognized in China Business Law Journal’s Deals of the Year Awards 2025 for Burger King China
Morrison Foerster has been recognized in the China Business Law Journal’s Deals of the Year awards for 2025 in the mergers and acquisitions category for its role in advising CPE on Burger King China. The annual “Deals of the Year” awards highlight the year’s most significant China-related deals and cases based on overall significance, complexity, and innovative nature.
MoFo has advised CPE, a leading Asia-based alternative asset manager, on its successful strategic partnership to form a joint venture with Restaurant Brands International Inc. (“RBI”), one of the world’s largest quick service restaurant companies, to reignite the growth of Burger King in China. After closing, CPE invested US$350 million of new primary capital into the joint venture to support Burger King China’s restaurant expansion, marketing, menu innovation, and operations in one of the world’s fastest-growing consumer markets. CPE now owns approximately 83% of the Business, and RBI retains a minority ownership position of approximately 17%. A wholly owned affiliate of Burger King China has also entered into a 20‑year master development agreement, granting it exclusive rights to develop the Burger King brand in China. The joint venture aims to expand the brand’s footprint in the market from roughly 1,250 restaurants in 2025 to over 4,000 by 2035.
MoFo’s deal team is co-led by PE/M&A Partner Xiaoxi Lin (Hong Kong) and M&A and Technology Transactions Partner Chuan Sun (Shanghai/Hong Kong), supported by PE/M&A Partner Joseph Sulzbach (New York); Technology Transactions Of Counsel Tyler Xiu (Hong Kong), and PE/M&A Associates Ziqi Qi (Hong Kong), Ferdinand Loo (Hong Kong), and Siyu Gao (Shanghai).
