Morrison Foerster represented One Investment Management (OneIM) on an investment by a fund managed by OneIM in T&D Financial Life Insurance Co., Ltd., a Japanese life insurer. OneIM is a global alternative investment manager that invests across capital structures, asset classes, industries, and geographies, with approximately US$10 billion in assets under management. This investment represents OneIM’s first equity investment in Japan.The fund managed by OneIM will acquire a 14.9% stake. Nozomi Oda is the Co-Head of the Asia M&A/PE Practice. Her work focuses on cross-border public and private M&A, joint ventures, strategic investments, capital markets, and life sciences.She regularly advises clients on a wide range of Japanese regulations including securities, financial and fund, merger review, and healthcare and life sciences. In addition to her work in private practice, Nozomi spent two years with Japan’s Financial Services Agency (FSA) as a deputy director of the corporate disclosure department, where she participated in the drafting of the FSA’s disclosure regulations regarding private placement offerings and director compensation.Nozomi is recommended in the 2023 edition of The Legal 500 Asia Pacific for Japan: Corporate and M&A and has also been recognized in The Best Lawyers in Japan for Capital Markets, Corporate and M&A, Private Equity, Private Funds and Venture Capital Law.Nozomi is a bengoshi admitted to practice in Japan and New York and a member of the Dai-Ichi Tokyo Bar Association.Nozomi’s experience includes representing:<ul><li>Daiichi Sankyo in its $6.9 billion global drug development and commercialization agreement with AstraZeneca.</li><li>C.R. Takaki Sato is a partner of Morrison Foerster Law Offices. He specializes in complex M&A transactions with a distinctive focus on data privacy. His experience includes advising clients on private equity acquisitions, growth investments, joint ventures, and public company transactions. Takaki also brings deep expertise in data privacy, and he counsels global tech companies on compliance, data-sharing frameworks, incident response, and evolving regulatory requirements. His transactional privacy work enables clients to accurately assess risks, particularly in data-driven businesses and high-stakes investments. Takaki received his LL.B. and his J.D. from the University of Tokyo, and his LL.M. from Columbia Law School. Ganesh Vaheisvaran is a corporate associate in the Tokyo office of Morrison Foerster. His practice focuses on public and private mergers, acquisitions, joint ventures, and other corporate transactions for clients in a wide variety of industries.Ganesh received his LL.B. from the University of Sydney Law School. During his time in law school, he studied for one semester at Yonsei University (Korea). Ganesh received his B.Comm. (Finance) from the University of Sydney Business School. During his time in business school, he studied for one semester at Keio University (Japan). He is now a part-time lecturer at the Keio University Law School.Prior to joining Morrison Foerster, Ganesh worked at a leading magic circle law firm in its London and Tokyo offices.Ganesh is admitted to practice law in England and Wales and is qualified as a gaikokuho-jimu-bengoshi in Japan.Ganesh has been recommended by The Legal 500 Asia Pacific for Corporate and M&A as “a very reliable and hard working senior associate who undertakes his work diligently and efficiently” and is recommended for Projects and Energy as “an outstanding associate, who has proven to be diligent, thorough, efficient and quite knowledgeable in all the transactions we have worked together”.
