Morrison Foerster advised the Mozilla Foundation on the creation of Mozilla.org, a new 501(c)(3) non-profit created to steward the long-term success of the Mozilla Project. Mozilla.org was granted 501(c)(3) status and became fully operational in June 2026, and was created to oversee strategy, allocate resources, make investments and manage the brand across the Mozilla family of organizations. Organizations within the Mozilla Project include the Mozilla Foundation; Mozilla Corporation; MZLA; Mozilla Ventures; Mozilla.ai; and Mozilla Data Collective. Michael Santos is a corporate partner in the Transactions Department. His practice focuses on representing a broad range of investors, including institutional investors, private foundations, and public charities in deploying capital in early-stage and late-stage financings, mergers, acquisitions, asset purchases and sales.Michael also advises companies on structuring for impact, including through the use of benefit corporations, perpetual purpose trusts, hybrid or “tandem” arrangements between nonprofit and for-profit entities, and other alternative ownership structures.

Susan (“Suz”) co-chairs the Sustainability + Corporate Responsibility and Social Enterprise + Impact Investing practices. Her practice focuses on late-stage financings, secondaries, and other corporate transactions for investors, such as SoftBank and Temasek, and on investments for some of the top investors dedicated to impact, from “impact first” foundations to family offices to private equity funds. She co-led the drafting group for the first of the new corporate forms (the Social Purpose Corporation in California), has created hybrid/tandem corporate structures and crafted debt and equity instruments that blend impact with traditional financial terms, and has used corporate law to develop creative capital market solutions to pressing environmental problems. Susan Mac Cormac

Daniel Irvin is a corporate associate in the San Francisco office of Morrison Foerster. He represents clients on a broad range of transactional and corporate matters, including the formation of emerging companies, venture capital financings, mergers and acquisitions, corporate governance, and strategies for integrating ESG and impact goals into their businesses. He has represented both sellers and buyers in mergers and acquisitions. Daniel has also advised both sponsors of private funds throughout the fund formation process, as well as LPs in their primary and secondary fund investments. Daniel has particular expertise in working with non-profit organizations on a variety of transactions including investments in for-profit entities, hybrid structuring arrangements, and mergers and acquisitions including “spin-out” transactions.Prior to joining the firm, Daniel was a Summer Law Clerk in the Office of the General Counsel for the San Francisco Bay Area Rapid Transit District (BART).

Brian Radigan is a partner in the Federal Tax Group at Morrison Foerster. He has a broad tax practice advising U.S. and non-U.S. clients on complex tax structuring and the tax aspects of corporate transactions.Brian advises private equity funds, startup entities, REITs, and established multinational corporations on the tax aspects of mergers and acquisitions, joint ventures, cross-border corporate restructurings, and capital markets transactions. He has a particular focus on international tax, helping clients on cross-border structure formation and tax-driven internal reorganization, navigating tax laws across multiple jurisdictions to maximize global tax efficiency.Brian regularly advises emerging companies and venture capital firms on the tax aspects of capital raises, changes to capital structure, and general tax planning, providing strategic insight and tailored tax solutions to drive tax-efficient growth. He also advises financial institutions and corporations on capital markets offerings, financial products, and FATCA compliance.Brian is Recommended for US Taxes: Non-Contentious by Legal 500 US 2024.Prior to joining Morrison Foerster, Brian spent over a decade as a senior in-house tax advisor at General Electric and, more recently, as the global head of tax at New Fortress Energy (NFE). He structured the transition of NFE from an Up-C investment of Fortress Investment Group to a multibillion-dollar, fully public company. In his in-house roles, he served as a trusted advisor to senior executives, founders, and board members on various high-profile transactions, including a $2 billion LNG infrastructure joint venture between NFE and Apollo and a $5.1 billion acquisition by NFE of Hygo Energy Transition and Golar LNG Partners, LP.

Brian Radigan

Jinna Kwak is of counsel in Morrison Foerster’s Los Angeles office and a member of the firm’s Tax Group.Jinna practices tax-exempt organization law with a focus on advising organizations in the impact investment space and handling transactional matters for grantmaking and operating charities, including nonprofits with for-profit subsidiaries and/or affiliates. She has represented a variety of private foundations, public charities, and their donors, with significant experience advising on complex reorganizations, regulatory audits, and general corporate and tax law issues for nonprofits. She has presented on philanthropic issues at various conferences, including the Western Conference on Tax Exempt Organizations and the Business Law Section of the American Bar Association.Before joining MoFo, Jinna was of counsel at a boutique firm specializing in nonprofit law and a corporate associate at a large international law firm. She received her J.D. from New York University School of Law and her A.B. in economics at Harvard.

Lawrence Gallick is a partner in the firm’s Austin office and a member of the Technology Transactions Group.Lawrence focuses his practice on technology transactions and licensing matters. His diverse experience includes advising on SaaS agreements, cross-licensing agreements, research and collaboration agreements, development agreements, and distribution agreements. He counsels a broad range of companies across the software, hardware, life sciences, biotech and FinTech spaces, as well as other entities including universities.He advises clients in connection with general corporate matters including contract negotiations, and leasing and technology placement agreements.In 2023, Lawrence seconded at Amazon Lab126, where he led the negotiation of high-profile licensing deals for a variety of Amazon device teams. The secondment was an immersive opportunity to gain additional insights and experience from the perspective of in-house counsel. Lawrence also serves as co-editor of <a href="https://www.sociallyawareblog.com/" target="_blank">Socially Aware</a>, the firm’s award-winning newsletter and blog devoted to the law and business of social media, and regularly publishes on various IP and technology-related topics.Prior to joining the firm, Lawrence was counsel at another major law firm. Before earning his law degree, Lawrence was a web consultant, project manager, and web developer in Portland, Oregon, where he managed and consulted on projects using industry methodologies and performed custom development and integration of content management systems.Lawrence was named a Super Lawyers “Rising Star” in 2015 and 2018–2022, and is licensed in California, New York, and Texas. Lawrence earned his J.D. from the University at Buffalo School of Law, where he was the electronic systems editor for the Buffalo Law Review and awarded the ABA-BNA Award for Excellence in the Study of Intellectual Property Law.
