Xuanyi Liu represents fund sponsors and institutional investors in the formation of, and investments in, private funds across all strategies, including buyout, growth, venture capital, real estate, private credit, climate, and infrastructure funds, as well as separate accounts, investment clubs, platforms, and co-investment programs. He regularly works with sponsors based in Asia, the United States, or Europe on the formation of Asia-focused funds, including funds investing across China, India, Japan, Korea, Southeast Asia, and Australia. As part of his practice, Xuanyi counsels sponsors on fund management JVs, team spinouts, upper-tier structuring, carried interest plans, fund operations, and regulatory matters.Xuanyi has extensive experience in fund secondaries and liquidity solutions across a wide variety of different structures. He regularly advises sponsors and buyers on both GP‑led secondaries (including continuation funds, preferred equity deals, NAV financings, strip sales, conversions into open-end structures, and GP-led tenders) and traditional LP portfolio transactions.
