Susan (“Suz”) co-chairs the Sustainability + Corporate Responsibility and Social Enterprise + Impact Investing practices. Her practice focuses on late-stage financings, secondaries, and other corporate transactions for investors, such as SoftBank and Temasek, and on investments for some of the top investors dedicated to impact, from “impact first” foundations to family offices to private equity funds. Jens-Uwe Hinder

Lloyd W. Aubry, Jr. is a member of our Employment and Labor Group. Lloyd’s practice encompasses all aspects of employment and labor law, including litigation and counseling. He represents public and private clients in a variety of matters relating to wage and hour law, employment discrimination, wrongful discharge, safety and health issues, and National Labor Relations Act issues.Lloyd represents clients before administrative agencies and in state and federal courts. A significant part of his practice involves providing expert testimony and consulting on issues relating to the Department of Industrial Relations. In this capacity, he has assisted both employers and employees.Prior to joining Morrison Foerster, Lloyd served as the Director of the California Department of Industrial Relations, a cabinet level position, from 1991 to 1997. During his tenure as Director, the department successfully updated wage and hour regulations, including elimination of the daily overtime rule; reformed the state’s workers’ compensation laws resulting in a $4 billion decrease in premiums; and modernized the prevailing wage regulations. Also during his term as Director, Lloyd served as President of the National Association of Government Labor Officials, a national organization of state labor commissioners, secretaries, and directors.From 1989 to 1991, Lloyd practiced labor law in San Francisco, and from 1985 to 1989, he served as the State Labor Commissioner. In this position he headed the Division of Labor Standards Enforcement and was responsible for enforcing and interpreting wage and hour law, prevailing wage law, various retaliation statutes, and a number of licensing provisions. From 1981 to 1984, he served as a special assistant and counsel to the U.S. Secretary of Labor and to the Assistant Secretary for Policy, advising them on legal and policy issues. Shortly after, he was appointed by President Reagan as a member of the Commission on Agricultural Workers, a study commission created by the Immigration Reform and Control Act.Lloyd received his J.D. in 1975 from UCLA Law School and his B.A. in 1972 from Stanford University (Phi Beta Kappa, with distinction). He is a frequent lecturer and author on employment law matters and is the author of the California Wage and Hour Guide, published by the Employers’ Group.

Lloyd Aubry

Mike advises on U.S. and international mergers, acquisitions, divestitures, and other strategic transactions, including “going private” and other related-party transactions. He has advised companies, boards, and special committees, as well as investment banks, in both negotiated and contested transactions. He works with clients across a variety of industries, including in the technology, software, telecommunications, agtech, consumer, and healthcare/life sciences sectors.Mike has been ranked in numerous publications including Chambers USA, The Legal 500, and Best Lawyers in America. Clients in The Legal 500 describe Mike as “a very seasoned M&A lawyer with a depth of technical expertise.” He has been recognized for M&A by Best Lawyers in America every year since 2013, and in 2021 the publication named him a “Lawyer of the Year” for M&A. He has also been recognized in Who’s Who Legal – The International Who’s Who of Mergers & Acquisitions Lawyers.Before moving to San Francisco, he worked in the firm’s Tokyo office for four years. Prior to joining Morrison & Foerster, he worked at a Japanese law firm for two years, concentrating on cross–border transactions. He serves on the board of directors of the Japan Society of Northern California.Mike is the immediate past chair of the American Bar Association’s M&A Committee, where he also served as co-editor of the Model Tender Offer Agreement, on the editorial board for the Model Public Company Merger Agreement, as senior reviewer of the forthcoming Revised Model Asset Purchase Agreement, and as the editor of the Annual Survey of M&A Cases. While chair, he co-founded the Committee’s national law student M&A negotiating competition.He also has served on M&A advisory boards, such as the Law360 M&A editorial board and the Thomson Reuters Accelus Business Law Partner advisory board. Michael G. O'Bryan

Robert May is a partner in the firm’s Litigation Department. His practice focuses on M&A litigation, corporate governance disputes, and securities litigation. Robert has more than fifteen years of experience representing clients in a broad range of industries including technology, financial services, and pharmaceuticals.Robert’s experience includes defending actions challenging corporate transactions on behalf of both targets and acquirers, including litigating motions for preliminary injunctions seeking to delay or prevent stockholder votes. He has significant experience defending clients in stockholder class actions brought under the federal securities laws, and responding to regulatory and criminal investigations. Robert’s practice also focuses on breach of fiduciary duty claims, as well as counseling companies and their directors and officers in governance disputes. Robert has particular experience effectively managing multi-forum matters to limit exposure and cost to his clients and navigating insurance issues in matters covered by directors’ and officers’ liability insurance policies.Before joining Morrison Foerster, Robert worked for six years in the New York office of another international law firm where he represented a variety of financial institutions, pharmaceutical companies, technology companies, and other multinational corporations in securities litigation, antitrust litigation, and regulatory enforcement matters. Robert also worked for one year as a law clerk to the Honorable Robert P. Patterson Jr., U.S. District Judge for the Southern District of New York.Robert received his J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar, a managing editor of the Columbia Journal of Law and Social Problems, and a recipient of the Jane Marks Murphy prize for achievement in clinical offerings. Robert earned his B.A., with honors and distinction, from the University of North Carolina at Chapel Hill.
