New York partner, Katherine Erbeznik will moderate the discussion. Brian represents clients in a wide range of financing transactions, including private debt and equity placements, bank syndications, various bank finance products, high yield offerings, and mezzanine and LBO financings. He has a specialized practice representing non-U.S. entities that want to make cross-border private placements of securities to U.S. and other large financial institutions and pension funds.He has extensive experience in cross-border private placements and practices almost exclusively on the issuer side of the table.Brian’s private placement capabilities in issuer-side cross-border placement representation far exceed any other specialist cross-border private placement practice in both issuance value and number of issues. During the course of the last several years, with respect to overall issues and dollar volume, Brian led his group in the representation of issuances of approximately 30 percent of total cross-border USPP debt.In addition to having worked in private placement finance for well over 30 years, Brian continues to act as the sole issuer-side member of the Transactions Process Management Committee of the American College of Investment Counsel (ACIC) where he is a fellow. The ACIC is responsible for the development of new model forms for the cross-border private placement market.

Daniel Levison serves as the Head of Litigation in Morrison Foerster’s Singapore office and leads the firm’s global Ethics and Compliance practice in Asia.With over 25 years of experience working across the region, Daniel advises clients on a wide range of litigation matters, internal investigations, and compliance reviews throughout Asia-Pacific. His practice spans multiple jurisdictions, including Malaysia, Thailand, Indonesia, Vietnam, the Philippines, Singapore, India, Nepal, Japan, Korea, China, Australia, and New Zealand. He provides strategic counsel to clients facing complex regulatory and compliance challenges.Daniel is recognized for his expertise in handling highly sensitive matters such as fraud and corruption, cartel and competition issues, anti-money laundering, export control, privacy and data security, and regulatory and product safety investigations. John is a Capital Markets, Public Company Advisory & Governance, and Special Situations partner with more than 25 years of experience advising issuers, underwriters, and other market participants in a wide range of equity and debt financing transactions. He has significant experience advising on initial public and follow-on equity offerings, high yield and investment grade debt offerings, and private placements. John also regularly advises on structuring and executing cross border financing, liability management, and special situation transactions, having advised on matters involving a wide range of jurisdictions, including China, Hong Kong, Japan, France, India, Indonesia, Israel, Singapore, Taiwan and the United Kingdom.  John has worked with a wide variety of companies across many industries, including consumer products, technology, life sciences, energy, telecommunications, and financial services. John Owen

Chen is the head of Morrison Foerster’s Sanctions and Export Controls practice for Asia and leads the firm’s government and internal investigations in Greater China. Chen has extensive experience advising on U.S. economic sanctions, anti-corruption, anti-money laundering, securities and accounting fraud, and related governance and corporate compliance issues.Chen frequently advises Chinese, U.S., and European financial institutions on U.S. economic sanctions and export controls in the context of contentious enforcement matters involving OFAC and other U.S. regulators. He also frequently assists banks and corporates with setting up practical, risk-based sanctions and export controls compliance programs.In addition, Chen has been lead counsel on  numerous anti-corruption enforcement actions by U.S. regulators against some of the largest major life sciences, technology, and financial services companies over the past eighteen years.
