Justin Salon Named a Dealmaker of the Year by The American Lawyer
Partner Justin Salon has been named one of The American Lawyer’s 2024 Dealmakers of the Year, which honors lawyers who guided the most complex, groundbreaking, and impactful deals of the past year.
Justin was recognized for leading Arm Holdings plc’s (“Arm”) IPO on the Nasdaq Global Select Market (“Nasdaq”). Arm is the world’s leading semiconductor IP company. The offering priced at the high end of the indicative range at $51.00 per American depositary share (ADS). With a total deal value of approximately $5.22 billion, this was the largest IPO of 2023 globally and represents the largest U.S. IPO since 2021. Arm’s ADSs began trading on Nasdaq on September 14, 2023, under the symbol “ARM.” The IPO closed on September 18, 2023.
Justin is chair of the firm’s Capital Markets practice and co-chair of Morrison Foerster’s REIT practice. He represents both issuers and underwriters in a wide variety of corporate and securities matters, including initial public offerings, primary and secondary offerings, private placements, senior and subordinated debt financings, and liability management transactions.
To overcome the deal’s geographic challenges, Justin refers in The American Lawyer article describing the deal to a team which was set up to “follow the sun,” further adding that “there was no time during the day when we didn’t have coverage around the clock.”
The global MoFo deal team advising Arm alongside Justin on its IPO included Austin capital markets partner John Hensley, New York capital markets partner John Owen, Tokyo office managing partner Ken Siegel and capital markets partner Jesse Gillespie, London corporate partners Gary Brown and Stuart Alford, and partners Marcia Ellis and Andrew Meyer for China-related matters.
