Dylan Moore is a corporate associate in Morrison Foerster’s Denver office.Dylan’s practice focuses on representing publicly- and privately-held companies in connection with complex transactions, including purchases and sales of assets, merger transactions, and corporate restructurings.Prior to joining Morrison Foerster, Dylan was an associate at another global law firm.Dylan received his J.D. with honors from the University of Texas School of Law, where he worked as a student attorney for the Juvenile Justice Clinic and a legal intern for the Transnational Worker Rights Clinic. He also served as a staff editor of the Texas Journal of Oil, Gas, and Energy Law.He received his B.A., magna cum laude, in political science from the University of Louisiana.

Dylan Moore

Locke is a partner in MoFo’s Government Contracts & Public Procurement practice. He has been recognized by Chambers USA for his “proficiency across the government contracts space,” with sources commending his deep experience in Intellectual Property and Data Rights.Locke counsels clients across industries through the full lifecycle of delivering technology and licensing software to U.S. federal, state, and local governments, and performing government-funded R&D through contracts, grants, cooperative agreements, and other vehicles such as other transactions (OTs/OTAs), cooperative research and development agreements (CRADAs), and the Small Business Innovation Research (SBIR) and Small Business Technology Transfer (STTR) programs. He provides strategic advice for asserting, protecting, and enforcing patents, data rights, and other intellectual property under the Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS) and the Bayh-Dole Act, before statutory agencies such as NASA and the Department of Energy, and in engagements with OT consortia, federal laboratories, and federally funded research and development centers (FFRDCs). He is a skilled negotiator of commercial and noncommercial licensing agreements, contracts and subcontracts, joint venture agreements, and teaming agreements. Locke also regularly advises large and small businesses, private equity firms, and entrepreneurs on the complex government contracting and IP-related issues they face in M&A and other transactional matters.Locke has repeatedly been “Recommended for Government Contracts” by The Legal 500, and in 2024 he was ranked “Up and Coming” in Government Contracts by Chambers USA. Ali Young is an associate in the Government Contracts practice in Morrison Foerster’s Washington, D.C. office.Ali’s practice focuses on a full range of government contract litigation and compliance matters including bid protests, contract claims and disputes, small business compliance and disputes, and mergers and acquisitions. She has represented clients in both pre- and post-award bid protests before the Government Accountability Office (GAO) and the Court of Federal Claims (COFC). Nicole Giles is an associate in the Government Contracts practice in Morrison Foerster’s Washington, D.C. office.Nicole represents government contractors on various contract matters, including mergers and acquisitions, bid protests, contract claims and disputes, and compliance issues. Before joining the firm, she worked as a government contracts associate for a leading law firm and clerked for the U.S. Civilian Board of Contract Appeals.Nicole’s experience includes advising on mergers and acquisitions involving both the purchase and sale of government contracting concerns or related assets, including performing due diligence and negotiating purchase agreements; prosecuting and defending bid protests before the U.S. Government Accountability Office (GAO) and the U.S. Court of Federal Claims (COFC); representing government contractors in disputes with the federal government, including appeals of contracting officer final decisions to the Armed Services Board of Contract Appeals (ASBCA) and Civilian Board of Contract Appeals (CBCA); and counseling clients on various compliance issues, including those involving the Service Contract Act (SCA).Nicole graduated magna cum laude from Gettysburg College with a B.A. in History and Philosophy. She earned her J.D. from The George Washington University Law School. While in law school, Nicole served as Editor-in-Chief of the Public Contract Law Journal and served as Co-Chair of the Judges Committee for the GW Law Moot Court Board. Liam Bowers is an associate in the Government Contracts practice in Morrison Foerster’s New York office.Liam received his J.D. from the George Washington University Law School with high honors and a concentration in Government Procurement Law. He served as a member of the Public Contract Law Journal and was the recipient of the 2022 Murray J. Schooner Scholarship for Government Procurement Law. While in law school, he served as judicial intern to Judge Thompson Michael Dietz in the United States Court of Federal Claims and as a summer law clerk in the Department of the Navy, Office of General Counsel. Before joining the firm, he worked as a transactional associate at a leading law firm in New York.Liam received a B.A. in political science with a minor in environmental systems from the University of California, San Diego.

Michael Vernace is a partner in Morrison Foerster’s San Francisco office and member of the firm’s Finance and Private Equity Investments + Buyouts Groups.Mike’s practice focuses on supporting sponsor-borrowers along with additional lender-side representations and borrower-side bankruptcy remote financings. He regularly advises clients through syndicated finance and other commercial lending transactions, including acquisition, leveraged, investment-grade, asset-based, corporate, receivables, net asset value, and hybrid financings. He has extensive experience representing prominent private equity sponsors and their portfolio companies in complex domestic and cross-border financings, including acquisition financings and refinancings. He has led transactions covering a range of industries, including healthcare and life sciences, tech, telecommunications, and media and entertainment, among others.Mike was recently recognized by The Legal 500 Green Guide: United States 2024 for his efforts in promoting environmental, social, and governance (ESG) standards, and he brings a wealth of experience from his previous role in another global law firm’s banking and credit group.Mike received his J.D. from Duke University and his B.S. in business administration, summa cum laude, from Boston University. As a summer associate at Morrison Foerster, he worked on various deals in the Corporate and Finance practices and created internal precedent documents to streamline future deals.Ryan earned his J.D. with a specialization in business law at the UCLA School of Law and earned his B.A. in economics and philosophy from Brown University.
