The Law Society of Hong Kong has once again honored Morrison Foerster with the Gold Law Firm Award as part of its 2025 Pro Bono and Community Work Recognition Programme. MoFo is one of only 13 law firms in Hong Kong that met the threshold for the Gold Law Firm Award, which is based on the number of pro bono hours contributed by lawyers in the office. Shionogi is a leading research-driven pharmaceutical company headquartered in Japan.</li><li>Ascendent Automation (Cayman) Limited, an affiliate of Ascendent Capital Partners as one of the Joint Offerors, in its offer to privatize China Automation Group Limited (CAG) (0569.HK) by way of a Cayman scheme of arrangement for HK$391,998,649.50 (about US$50.06 million). Ascendent Capital Partners also provided a loan facility to the other joint offeror (being the controlling shareholder of CAG) for the purpose of the offer. CAG is a China-based company principally engaged in: (i) the provision of safety and critical control system and control valves specialized for petrochemical industries, along with related maintenance and engineering services; and (ii) hospital business in Suzhou, the PRC.</li><li>SoftBank Vision Fund in connection with an investment totaling US$1.5 billion in Chehaoduo, a leading Chinese customer-to-customer auto retail services company that operates Guazi, an e-commerce platform focusing on second-hand car transactions, and Maodou, an e-commerce platform focusing on new car transactions.</li></ul>

Katrina Tsoi

Nicole Tsui is a litigation associate in Morrison Foerster’s Hong Kong Office.Her practice focuses on litigation and international arbitration matters on behalf of both local and multinational clients. She has experience in handling complex arbitration disputes in a wide range of industries, including shipping, construction, commodities and finance under the arbitration rules of major institutions such as the International Chamber of Commerce (ICC), the United Nations Commission on International Trade Law (UNCITRAL), Hong Kong International Arbitration Centre (HKIAC) and London Maritime Arbitrators Association (LMAA). She has also handled various court proceedings before Hong Kong courts.Nicole is fluent in English, Cantonese and Mandarin.

Nicole Tsui

Stephen Birkett is a Senior of Counsel at the firm and a Partner in our Hong Kong office.Stephen has practiced in Hong Kong for over 25 years and specializes in capital markets advisory and transactional matters, regulatory issues, and mergers and acquisitions transactions. His experience includes advising on the Hong Kong Stock Exchange Listing Rules, including numerous IPOs, and the Hong Kong Takeovers Code, as well as corporate and securities law and regulations generally. This includes advising clients on SFC licensing issues for intermediaries, non-contentious employment matters, and general commercial transactions.He recently advised a securities fintech business licensed by the SFC and which offers a Chinese language app for trading equities in select international markets on SFC compliance issues.Prior to joining Morrison & Foerster, Stephen served for three years as Senior Director of Corporate Finance with the Securities and Futures Commission in Hong Kong. Before that, he was a partner and Head of Corporate Finance in a leading international firm in Hong Kong. He was a member of the Hong Kong Government Standing Committee on Company Law Reform from 2011 until the end of his six-year tenure.Stephen is a frequent speaker at conferences on Hong Kong securities legal issues and has authored chapters on the Hong Kong Takeovers Code and Listing Rules in the popular “Practitioner’s Guide” series.Stephen is fluent in French and Spanish.

He conducts internal investigations throughout Asia of potential violations of anti-corruption laws, leads pre-acquisition anti-corruption-related due diligence and post-closing remediation, and regularly provides advice, counseling, and training to clients about FCPA and anti-corruption related issues.Tim has deep experience representing companies and individuals in high-stakes contentious matters involving U.S. and Hong Kong law. Before relocating to Hong Kong in 2011, he spent 10 years practicing in New York and California, handling fraud, misrepresentation, breach of contract, securities litigation, investment disputes, commercial arbitration, and enforcement-related matters, from inception through trial. His practice continues to have a strong U.S. nexus, and he regularly advises clients facing disputes and enforcement actions originating in the U.S. and involving U.S. law.As a Hong Kong solicitor, Tim has been instructed by clients in key contentious proceedings and arbitration-related matters before Hong Kong courts, as well in proceedings with Hong Kong regulators and statutory tribunals.
