Tyler Sewell is a corporate partner in the firm’s Denver and Washington, D.C. offices and serves as Lead of the M&A Practice Group. Marisa McGettigan is an associate in Morrison Foerster’s Denver office and a member of the firm’s Transactions Department.Marisa previously served as a summer associate at Morrison Foerster and as a summer intern in the Office of the Attorney General of the Colorado Department of Law.Marisa earned her J.D. from Northwestern Pritzker School of Law, where she was an executive editor of the Northwestern University Law Review. She received her B.A. in political science from the University of California, Berkeley.

Marisa McGettigan

David Sturgeon is a partner in Morrison Foerster’s Federal Tax practice.Dave advises clients on a broad range of complex business transactions, including domestic and cross-border mergers and acquisitions, joint ventures, spin-offs and other divestitures, as well as financings, refinancings, restructurings and other business transactions.He earned his J.D. from the University of Chicago Law School, where he was a member of the Chicago Journal of International Law, and received his Master of Laws in taxation from New York University School of Law.Prior to joining Morrison Foerster, Dave was an associate at a law firm in New York, where he represented public companies, financial institutions, private equity clients and other sponsor entities across industries in an extensive range of business transactions.

Dave Sturgeon

Lawrence Gallick is a partner in the firm’s Austin office and a member of the Technology Transactions Group.Lawrence focuses his practice on technology transactions and licensing matters. His diverse experience includes advising on SaaS agreements, cross-licensing agreements, research and collaboration agreements, development agreements, and distribution agreements. He counsels a broad range of companies across the software, hardware, life sciences, biotech and FinTech spaces, as well as other entities including universities.He advises clients in connection with general corporate matters including contract negotiations, and leasing and technology placement agreements.In 2023, Lawrence seconded at Amazon Lab126, where he led the negotiation of high-profile licensing deals for a variety of Amazon device teams. Melissa Crespo helps clients navigate a wide range of challenging privacy compliance and data security matters with a focus on the health information and the health care sector. She regularly helps clients develop and implement privacy compliance programs and advises companies on managing risk in connection with cutting-edge technologies and data initiatives.Melissa has particular experience in advising clients on compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other laws governing the collection and use of medical and health information.Melissa regularly counsels clients responding to data breaches and security incidents. Josh Lerner is a partner in the Executive Compensation + Benefits Group based in the New York office of Morrison Foerster.Josh advises clients on all matters involving the compensation of senior executives, including employment, change in control, equity compensation, and severance arrangements.He counsels public and private companies on executive compensation issues in a range of corporate transactions, restructurings, and financings. He has experience designing, drafting, and negotiating employment agreements and administering equity incentive plans and awards. Jessica Kwok is an associate in the Technology Transactions Group of Morrison Foerster’s San Diego office.Jessica’s practice focuses on transactions and counseling involving the acquisition, development, licensing, and transfer of intellectual property and technology. She leverages her background in life sciences to counsel clients across a variety of industries, such as biotechnology, pharmaceuticals, and software and cloud services.Jessica has experience drafting and negotiating a broad range of intellectual property and commercial agreements, including technology, software, and patent licenses, research and development collaborations, services agreements, and clinical trial agreements. Kevin Kallet is an associate in Morrison Foerster’s San Francisco office and a member of the firm’s Technology Transactions Group.Kevin’s practice focuses on transactions involving a broad range of intellectual property and technology, with particular emphasis on software and SaaS licensing and emerging technologies. He regularly advises clients in the artificial intelligence, enterprise software, and digital media industries, and provides product counseling on technology development, deployment, and regulatory compliance.Kevin counsels both providers and customers of AI models and services on issues relating to the development, procurement, and deployment of AI technologies. His experience includes drafting and negotiating contracts and terms of use for the provision of AI services, developing internal and external AI governance frameworks, and advising on training data practices and related contractual commitments. Kevin Kallet

Jasmine Arooni is an associate in the firm's Data, Cyber + Privacy Practice Group and is based in the Washington, D.C. office.Jasmine's practice focuses on advising clients across multiple industries on privacy and cybersecurity matters, with particular experience in data breach and security incident response and matters related to health information. She regularly counsels clients on federal, state, and international data privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA), California Consumer Privacy Act (CCPA), and state data breach statutes. Jasmine has experience defending clients in regulatory inquiries regarding data security practices, including investigations by the U.S. Department of Health and Human Services, state attorneys general, and foreign regulators. She supports clients with implementing privacy compliance programs and developing risk management strategies, as well as privacy and data security aspects of M&A transactions. Jasmine also has experience advising and representing clients in matters relating to the Committee on Foreign Investment in the United States (CFIUS). Jasmine received her J.D. from the George Washington University Law School, where she was a member of the Federal Communications Law Journal and authored a student note, “Debugging the System: Reforming Vulnerability Disclosure Programs in the Private Sector,” 73 Fed. Comm. L.J. 445 (2021). During law school, Jasmine worked at the Word Bank Group’s Data Privacy Office and at a Washington, D.C. think tank, where she assisted with briefing congressional offices, technology companies, and investors about digital rights, data privacy, and emerging technologies. She is also a recipient of the International Association of Privacy Professionals (IAPP) Westin Scholar Award for Excellence in Privacy, recognizing emerging leaders in the field of data protection. Before law school, Jasmine worked in cybersecurity program management at a multinational technology company, as well as at the White House Office of Science and Technology Policy.Jasmine received her B.A. in political science and entrepreneurship from the University of California, Los Angeles.

Andre Amorim is an associate in the New York office and a member of the firm’s Executive Compensation and Benefits practice.Andre’s practice focuses on a wide range of compensation and benefits matters. He advises both public and private companies on tax and securities law issues in connection with complex corporate transactions, including mergers and acquisitions, financings, and initial public offerings. He also advises employers and executives in the negotiation, design, and implementation of employment, severance, change in control, deferred compensation, equity, and other incentive compensation plans and arrangements.Prior to joining the firm, Andre advised on executive compensation and employee benefits law at another multinational law firm.
