Justin T. Wood

Justin Wood is an Associate in the Denver office of Morrison Foerster and a member of the firm’s Emerging Companies + Venture Capital Group.

Justin is a business-minded attorney who provides strategic guidance and solution-oriented counsel. He specializes in helping emerging companies – from start-up to late-stage – and venture capital funds across the country achieve their business goals. Justin is a trusted deal advisor in a wide range of complex corporate transactions, including venture and growth-stage financings, bridge financings, strategic relationships, and mergers & acquisitions. He also serves as outside general counsel on a variety of day-to-day business matters. 

Justin operates primarily in the technology, consumer products, and renewable energy sectors.

Justin received his J.D. from the University of Virginia School of Law. He also holds a B.A., summa cum laude, from the University of North Texas, where he also served as the elected student body Vice President.

Mergers + Acquisitions

• Advised several private companies in exit transations valued between $5 million and $1 billion
• Advised various private and public companies in middle-market strategic acquisitions to execute multiple roll-up strategies
• Advised multiple private companies in a variety of acqui-hire transactions

Emerging Companies +Venture Capital

• Represented dozens of companies in venture financings ranging from Series Seed to Series E at valuations as low as $5 million and in excess of $1 billion
• Represented dozens of companies in their formation and/or conversion and related seed funding
• Represented multiple venture capital firms in several early-stage investments at valuations ranging between $25 and $60 million
• Represented venture capital firms in variety of secured debt investments in both early and late stage companies

Capital Markets 

• Represented Fortune 1000 company in multiple secondary equity and high yield note offerings ranging from $275 million to $750 million
• Advised multiple companies in a diverse range of sectors on all aspects of ongoing ’34 Act compliance and corporate governance
• Represented a manufacturing company in $1.9 million reverse stock split to complete a “going dark” transaction
