Our German Practices
Corporate and M&A. Our German team has a strong focus on advising on national and cross-border M&A transactions, including on related financing, due diligence and regulatory issues. In particular, we are acknowledged market leaders in the TMT sector. We advise on squeeze-outs, corporate structuring and restructuring, as well as on foreign investments and acquisition financing. Another focus is on advising in the areas of private equity and venture capital, and start-ups, including on related financing structures.
Capital Markets. We have profound experience in advising on national and international capital market transactions, initial public offerings and private placement of shares, equity-linked instruments, bonds and structured products as well as trading of securities on German and international stock exchanges. A particular focus is on the preparation and conduct of shareholders meetings.
Litigation. We advise and represent our clients in corporate and capital market lawsuits, in post-M&A disputes and commercial litigation. We counsel on matters likely to result in legal action, e.g. with regard to critical shareholders' meetings, in relation to restructuring, squeeze-outs, domination agreements and takeover proceedings. Another focus is on advising our clients in internal investigations and on compliance issues.
Antitrust and Regulatory. We have extensive experience in advising on a broad range of antitrust and regulatory matters, with a particular focus on the TMT sector. We advise and represent our clients in merger control proceedings at the Federal Cartel Office and the European Commission, as well as in abuse of market dominance and cartel damage proceedings. We provide comprehensive advice on competition law and other regulatory issues of business operations, e.g. on telecommunications and public media law, as well as on compliance issues.
Commercial and IP. We advise comprehensively on commercial and IP aspects in German and cross-border transactions, as well as on all legal issues relating to the production, purchase and sale, distribution and delivery of physical and digital goods and services. We advise on the drafting and negotiation of contracts, and draft and examine general terms and conditions (B2B and B2C). We advise on the structuring and implementation of new business models and on related contract and IP issues.
Tax. We have extensive experience in advising on national and cross-border M&A transactions in the form of share and asset deals, both inbound and outbound. We advise on the complex tax structuring of cross-border investments, on the restructuring of multinational companies and on business transactions, such as sale and lease back transactions. In addition, we advise our clients in complex tax audits and fiscal proceedings, including representation up to the European Courts.
Employment. We advise national and international companies in all areas of individual and collective employment law. A particular focus is on advising on employment consequences of corporate transactions and restructuring. We also represent and advise our clients in complex employment disputes, on the hiring and firing of employees and management board members, including on remuneration plans and incentive schemes. Another focus is the advice on compliance issues (reporting, anti-bribery and anti-corruption), as well as in internal investigations.
Data Protection and Data Security. We have extensive expertise in consulting multinational companies on complex data protection issues, in particular in the context of pan-European and global compliance assessments, on the introduction of data protection and IT policies, as well as on whistleblowing systems. Our advice includes the assessment and optimization of new business models and online platforms with regard to data protection aspects, and the introduction of binding corporate rules (BCR). In addition, we advise on responding to security incidents and investigations by data protection authorities.
Real Estate. We have extensive experience in advising clients from the real estate and fund sector on national and international real estate investments and transactions. This includes advice on the development, financing, structuring and restructuring of real estate projects in Germany and worldwide, on asset and share deals, REITs, on leasing and asset management, and on the negotiation and implementation of complex tax structures.
Finance. We offer our German and international clients dedicated advice on all their issues in relation to corporate finance, syndicated lending, leveraged buyouts, real estate finance and alternative credit providers, as well as debt restructuring. A particular focus of our practice is on acquisition finance and cross-border finance transactions, advising on both the borrower and lender-sides.
Notary Practice. Our highly regarded notary practice advises on complex corporate and real estate transactions, including on the financing and restructuring and on reorganization measures. A particular focus is on the preparation and conducting of annual stockholders and shareholders meetings.
