Anti-Corruption, Investigations and Compliance

Our anti-corruption, investigations and compliance practice features attorneys with deep experience of all forms of investigations and regulatory compliance issues faced by global companies in Asia. We conduct cross-border internal investigations into, and counsel clients regarding, potential violations of, anti-corruption laws (such as the FCPA and the UK Bribery Act), antitrust laws, data privacy rules and anti-money laundering regulations, among others. We also advise on strategies to mitigate compliance risk.

Our Singapore team co-ordinates with offices across Asia to deliver a unique set of regional capabilities, supported by our unmatched global network – comprising nationally recognized leading trial attorneys, former federal prosecutors and regulators, privacy experts, international trade specialists, government contracting lawyers, in-house forensic accounting experts and two former managers of the FCPA Unit of the US Department of Justice.

Our corporate team has been advising in Asia, collectively, for decades. Our partners are veteran deal advisers with substantial experience handling inbound, outbound and intra-regional private equity, cross-border investment, joint ventures, and asset-based transactions, across South and Southeast Asia. These transactions span the globe including Bangladesh, Brazil, China, India, Indonesia, Korea, Malaysia, Japan, the Philippines, Singapore, Europe and the U.S.

The team leads a significant number of large-scale, high-value and complex transactions. From 2015 to date, these transactions have exceeded US$50 billion in deal value. This is reflected by our achievements in the Bloomberg, Thomson Reuters and Mergermarket M&A league tables. In 2017, Bloomberg named us the #1 and #3 law firm, by Private Equity Deal Value and M&A Deal Value respectively, in Asia Pacific. Our corporate work has also won multiple awards, including, 2018 Deal of the Year (Asia) awards at the Global PERE (Private Equity Real Estate) Awards, ALB SE Asia Law Awards, FinanceAsia Awards and The Asia Legal Awards.

Dispute Resolution

Our full-service dispute resolution practice is a fully integrated regional practice.  Working with colleagues in our five Asia offices, we handle all aspects of complex commercial litigation, international arbitration and pre-dispute counseling matters. We provide advocacy in arbitration proceedings. If matters go to court in jurisdictions where we cannot appear, we work seamlessly with trusted local counsel to develop and execute the appropriate strategy to achieve the best possible outcome. We handle a diverse caseload from commercial and technology/IP disputes to local and regional litigation, as well as, privacy, crisis response and arbitration.

Morrison & Foerster’s Singapore-based Banking and Finance practice is part of our global Finance and Projects Group. We provide cohesive and integrated multi-jurisdictional advice on a wide range of financing transactions including acquisition and leveraged finance, real estate finance, takeovers, debt structuring and restructuring, syndicated lending, project finance and subscription line financing. In Asia, we guide our clients through the execution of finance deals, in particular in South and South East Asian countries, which all have their own unique financing legal issues. Acting as a single point of contact, we work with selected local counsels to ensure the best quality advice in each jurisdiction. An example of our recent work includes representing the Bank of Tokyo-Mitsubishi UFJ, Ltd. as mandated lead arranger and underwriter of acquisition facilities for two strategic acquisitions aggregating close to US$1billion by Siam City Cement Public Company Limited. We regularly represent both borrowers and lenders (banks, financial institutions, corporates, private equity sponsors and alternate financiers such as credit funds) and, exceptionally, we are trusted by our clients to represent them but also as opposing counsel acting for their counterparties.
