Randy Laxer is a partner in the firm's Corporate Department. His practice focuses on cross-border mergers and acquisitions, private equity and venture capital, strategic alliances and joint ventures. His experience in this area includes numerous inbound and outbound buyouts, complex international joint ventures and strategic and venture capital investments in high-tech, life sciences and media industries. Mr. Laxer previously served as the co-chair of the firm’s Global Corporate Department.

Mr. Laxer is recommended for his M&A and corporate law expertise in the current editions of Chambers Global (2017), Chambers Asia Pacific (2017), and The Legal 500 Asia Pacific (2018).

Mr. Laxer attended Konan University in Kobe, Japan and Stanford University’s Inter-University Center for Japanese Studies in Yokohama, Japan.  He is fluent in Japanese.

Represented Hitachi, Ltd. in its $1.245 billion acquisition of the Sullair brand air compressor manufacture and sale business from Accudyne Industries.
Charoen Pokphand’s $1.8 billion cross investment and business alliance with ITOCHU.
Represented Charoen Pokphand Group (CPG), a Thailand-based leading diversified conglomerate in Asia, in its $1.8 billion cross investment and strategic alliance with ITOCHU Corporation.
Aetos Capital’s $1.3 billion sale of Simplex.
Represented Aetos Capital Real Estate in its sale of Simplex Investment Advisors, a Japanese real estate asset management firm, to Hulic Co., Ltd., a leading Japanese real estate operator, for approximately $1.3 billion. The deal is the largest private equity and one of the largest real estate-related deals in Japan in 2015.
SoftBank and GungHo’s acquisition of a majority interest in Supercell for $1.5 billion.
Represented SoftBank and GungHo Online Entertainment on their joint purchase of a majority interest in Finnish mobile game company, Supercell, for $1.5 billion. Also represented SoftBank on its subsequent acquisition of GungHo’s interest in Supercell for approximately $350 million.

Represented Investor Growth Capital in its investment in Zephyr Corporation, Inc., a leading Japanese Cleantech company specializing in the field of wind power generation.
NEC Electronics' Investment and Strategic Alliance.
Represented NEC Electronics in its Series B Convertible Preferred Stock financing of Link-A-Media Devices Corporation, a technology company based in Santa Clara, California. Link-A-Media raised a total of $22 million in this round of financing. In addition to NEC Electronics, SunAmerica Ventures (AIG), KeyNote, Micron and Seagate also participated as investors.
Chisso Corp.'s Cambrios strategic venture investment.
Represented Chisso Corporation in its strategic venture capital investment in Cambrios Technologies Corporation. Sumitomo Corporation and Presidio, LLP also participated as co-investors. The investment was structured as a purchase of convertible promissory notes that, subject to certain conditions, will convert into shares of Cambrios' convertible preferred stock.
