Update: Veröffentlichungspflichten in Zeiten der Pandemie
UPDATE
Die wirtschaftlichen Auswirkungen der Covid-19-Pandemie begründen für eine Vielzahl von Unternehmen Pflichten zur Ad-hoc Publizität nach Art. 17 MAR, die es in einer Reihe von Fällen auch bereits schon gegeben hat. Die mit der aktuellen Situation verbundene Unsicherheit über die weitere Entwicklung bringt hier allerdings erhebliche Schwierigkeiten, wann eine solche Veröffentlichung erfolgen muss und welchen Inhalt sie haben soll. Vor diesem Hintergrund möchten wir Ihnen hiermit eine erste Hilfestellung geben.
Die Europäische Wertpapieraufsicht (ESMA) hat in einer Empfehlung für Emittenten eine unverzügliche Veröffentlichung von relevanten Informationen in Bezug auf Auswirkungen der Pandemie auf (i) ihre wirtschaftlichen Grundlagen, (ii) auf ihre Zukunftsaussichten und (iii) die finanzielle Situation empfohlen. Den genauen Wortlaut finden Sie am Ende dieser Mail.
Diese Hinweise bedürfen einer weiteren Konkretisierung:
Auswirkungen der Pandemie, die spezifisch für das jeweilige Unternehmen sind, oder bestimmte Maßnahmen, die das jeweils betroffene Unternehmen veranlasst hat, können veröffentlichungspflichtige Insiderinformationen darstellen, wenn diese das Potenzial zur erheblichen Kursbeeinflussung haben. Keine einfache Frage, bei fortwährenden Kursabstürzen auf breiter Front.
Unternehmensspezifisch sind diese Umstände, wenn sie über das Ereignis der Pandemie an sich hinausgehen und das jeweilige Unternehmen konkret betreffen. Beispiele sind:
Schwieriger sind die Fälle zu beurteilen, in denen die gesamte Branche des Emittenten von den Auswirkungen des Corona-Virus betroffen ist. Ob eine Mitteilungspflicht besteht, muss jeweils im konkreten Einzelfall geprüft werden.
Ganz überwiegend wird die Verschiebung der Hauptversammlung bislang nicht als eine veröffentlichungspflichtige Insiderinformation angesehen, soweit auf der Hauptversammlung nicht wichtige Kapital- oder Strukturmaßnahmen beschlossen werden sollten.
Daneben wird insbesondere eine Veröffentlichung zur Anpassung der Prognose zu erwägen sein. Das wird gegebenenfalls dann erforderlich, wenn die Auswirkungen der Pandemie erkennbar das Erreichen der bisher veröffentlichten Prognose vereiteln. In normalen Zeiten würde das mit der Aufstellung und Veröffentlichung einer neuen Prognose einhergehen und so verlangt es die BaFin auch bislang.
Die BaFin wird in Kürze einen FAQ zur Ad hoc-Mitteilungspflicht veröffentlichen. Fragen zur Prognoseanpassung hat die BaFin bereits vorab veröffentlicht. Danach kann an der aktuellen Prognose festgehalten werden, sollten die Auswirkungen des Corona-Virus noch nicht vorhersehbar sein. Steht allerdings bereits mit hinreichender Wahrscheinlichkeit fest, dass die Prognose deutlich verfehlt wird, so ist eine Ad hoc-Mitteilung zu veröffentlichen, auch wenn das genaue Ausmaß noch nicht bekannt ist. In diesem Fall kann die alte Prognose mit einer Ad hoc-Mitteilung aus dem Markt genommen werden, ohne zugleich eine konkrete neue Prognose zu veröffentlichen. Eine solche ist dann später – wiederum per Ad hoc-Mitteilung – nachzuholen. Den genauen Wortlaut finden Sie am Ende dieser Mail.
Dabei ist jedoch zu prüfen, ob eine Ad-hoc Veröffentlichung dann nicht notwendig ist, wenn ein Verfehlen der Prognose bereits der Markterwartung entspricht.
Und zur Erinnerung: Eine Selbstbefreiung ist bei Prognoseabweichungen nach Ansicht der BaFin nicht möglich.
Das alles ist keine einfache Materie, insbesondere vor dem Hintergrund möglicher bußgeldrechtlicher Sanktionen bei einer fehlerhaften Einschätzung der Veröffentlichungspflicht. Im Zweifelsfall ist daher eine sorgfältige rechtliche Prüfung das Gebot der Stunde.

Following a Board of Supervisors discussion examining the market situation and contingency measures taken by supervised entities, ESMA is making the following recommendations to financial market participants:
ESMA, in coordination with NCAs, continues to monitor developments in financial markets as a result of the COVID-19 situation and is prepared to use its powers to ensure the orderly functioning of markets, financial stability and investor protection.

Wie ist mit Prognoseänderungen als Insiderinformationen infolge der gegenwärtigen Entwicklungen rund um das Corona-Virus umzugehen?
Im Hinblick auf eine etwaige Prognoseänderung ist zu berücksichtigen, dass diese erst dann zu veröffentlichen ist, wenn sie hinreichend wahrscheinlich ist. Sollten die Auswirkungen des Corona-Virus noch nicht vorhersehbar sein, hat der Emittent das Recht, an seiner alten Prognose festzuhalten. Allerdings ist eine Prognoseänderung nicht erst dann präzise, wenn die exakten Auswirkungen auf die Vermögens-, Finanz- und Ertragslage bereits vollständig bestimmbar sind. Insoweit gilt für durch das Corona-Virus ausgelöste mögliche Änderungen in der zukünftigen Geschäftsentwicklung nichts anderes als auch sonst. Muss der Emittent daher mit hinreichender Wahrscheinlichkeit davon ausgehen, dass bestehende Prognosen deutlich verfehlt werden, ohne dass er bereits eine konkrete neue Prognose abgeben kann, ist dennoch vom Vorliegen einer Insiderinformation auszugehen. Zulässig wäre es in diesem Fall, dass lediglich die alte Prognose mittels einer Ad-hoc-Mitteilung „aus dem Markt genommen“ wird, ohne dass darin bereits eine konkrete neue Prognose angegeben wird. Kann der Emittent zu einem späteren Zeitpunkt eine konkrete Prognose formulieren, ist diese in der Regel ebenfalls unverzüglich per Ad-hoc-Mitteilung zu veröffentlichen.
